TIS Box ERP User Agreement

Scope and Applicability

This User Agreement ("UA") between You and Think Info Services ("Think Info Services") governs Your use of the TIS Box ERP Services related to the Products ("Service"). By using the Service, You agree to be bound by this UA through:

• Your download, installation, or use of the Service; or

• Your express agreement to this UA.

You must be of legal age to use the Service. During registration, You must provide current, accurate, and complete information. If Think Info Services determines that such information is inaccurate or incomplete, it reserves the right to terminate Your account and restrict future use of the Service without notice. You are responsible for maintaining the confidentiality of Your password and account, as well as for all activities conducted under Your account.

Definitions

•

Affiliate: Any corporation or company that directly or indirectly controls is controlled by, or is under common control with Think Info Services.

•

Inactivated Account: A free account that remains inactive for a continuous period of at least six months.

•

Subscription Plan: The specific plan chosen by You from TIS BOX ERP Services, accessible at https://www.tisboxerp.com/#pricing .

•

Usage Term: The period from the subscription date until the expiration or termination of Your Entitlement, during which You are granted the right to use the Services.

•

You: The individual or legal entity acquiring Usage Rights to the TIS BOX ERP.

Using TIS BOX ERP Services

License and Right to Use

Think Info Services grants You a non-exclusive, non-transferable, and limited:

•

License to use the Service; and

•

Right to access and use the Service, as hosted by Think Info Services, solely for Your internal business purposes during the Usage Term as per Your Subscription Plan and this UA (collectively referred to as "Usage Rights").

Restriction on Usage Rights

You shall not make the Usage Rights available to any third party without the prior written consent of Think Info Services. You are prohibited from:

•

Duplicating, decompiling, reverse engineering, disassembling, or exploiting any part of the Usage Rights;

•

Selling, reselling, renting, leasing, or redistributing the Usage Rights;

•

Using the Usage Rights in any way that could damage or impair Think Info Services' systems.

Trial/Free Use of the Service

Think Info Services provides a 14-day trial period, after which Your plan may switch to a expire subscription if not upgraded.

Paid Use of the Service

Think Info Services offers various subscription plans, which can be reviewed at https://www.tisboxerp.com/#pricing . Subscription fees exclude applicable taxes, which are the responsibility of the User. Think Info Services will provide You with a Sales Quote and Tax Invoice.

Additional Services

Additional options are available beyond Your Subscription Plan and can be viewed at https://www.tisboxerp.com/#pricing .

Payment Terms

Subscription fees are due before the start of the Subscription Period. Think Info Services will provide a Sales Quotation upon request. At the end of the Subscription Period, a new Sales Quotation will be issued upon request for renewal.

Refund Policy

You can close the Account Holder’s TIS BOX ERP account at any time by contacting us on support@tisboxerp.com. No refund will be made of any subscription fees already paid.

Termination

Think Info Services reserves the right to terminate Your account if:

•

Your free account remains inactive for at least six months;

•

There is a breach of this UA; or

•

Your account remains unpaid for at least six months.

Upon termination, all data associated with Your account may be deleted.

Ownership

Data Ownership

All data generated or created by You remains Your property. Think Info Services will not use, share, or distribute Your data without Your consent. Data retention requests will be honored within a reasonable timeframe.

Reservation of Rights

Think Info Services retains exclusive rights to TIS BOX ERP, including intellectual property rights. No rights or licenses are granted beyond those expressly outlined in this UA.

Intellectual Property Rights

Think Info Services reserves exclusive rights in all intellectual property associated with TIS BOX ERP, including trademarks and copyrights.

Indemnification

You agree to indemnify and hold Think Info Services and its affiliates harmless from any claims or liabilities arising from Your use of the Service or violation of this UA.

Disclaimer of Warranties

TIS BOX ERP is provided "as is." Think Info Services makes no warranties regarding the Service’s operation or content. You assume all risks associated with using the Service and Think Info Services disclaims any responsibility for damages to Your devices resulting from its use.

Limitations of Liability

Think Info Services' liability will not exceed the monthly or annual subscription fee paid. It is not liable for indirect, special, incidental, or consequential damages.

Electronic and Other Communication

We will communicate with you and with third parties via email or by other electronic means, unless another method is more appropriate. Youwill be responsible for virus checking emails and any attachments. With electronic communication, there is a risk of non-receipt, delayed receipt, inadvertent misdirection or interception by third parties. We use virus-scanning software to reduce the risk of viruses and similar damaging items being transmitted through emails or electronic storage devices.

However, electronic communication is not totally secure and we cannot be held responsible for damage or loss caused by viruses nor for communications, which are corrupted or altered after dispatch. Nor can we accept any liability for problems or accidental errors relating to this means of communication especially in relation to commercially sensitive material. Any communication by us with you sent through the post system is deemed to arrive at your postal address two working days after the day that the document was sent.

Miscellaneous

•

Severability: If any provision is invalid, the remaining provisions remain effective.

•

Governing Law: This UA is governed by the laws of the Republic of India. Jurisdiction resides with the courts in Mumbai.

•

Entire Agreement: This UA represents the entire agreement between You and Think Info Services.

•

Assignment: Rights under this agreement can only be assigned with prior written consent.

•

Force Majeure: Think Info Services is not liable for interruptions caused by events beyond its control, including natural disasters, cyber-attacks, and government actions.

Applicable Law

These Terms of Service are governed by and construed in accordance with Indian Law and the parties agree to submit to the exclusive jurisdiction of the Courts of Surat, Gujarat, India.
